# Intro

### Why Junto Exists

Today's social media platforms have produced alarming rates of addiction, mental health issues, and privacy concerns. Their harmful design patterns and monopoly over our data have contributed to a digital culture that promotes superficial and competitive social dynamics, enables echo chambers and misinformation, and manipulates our behavior by aggregating our data at scale and targeting the vulnerabilities of our psychology.&#x20;

### The Evolution of Social Media

The evolution of social media begins with redesigning the fundamentals. New product features are great, but not when they are designed from the existing intentions of maximizing virality and attention.

The following is our holistic solution to ignite a shift in our digital culture to be more authentic, privacy-focused, and interpersonal.

#### **Human-centered Design**

The forms we communicate through are as important as the messages themselves. We've designed new patterns to shape a digital culture that inspires authenticity and connection. No ads or AI-powered echo chambers.

#### **Distributed Technology**

Junto will be powered by a scalable, distributed technology called Holochain. This means we don't store your information in centralized servers run or owned by us. You own your data and we won't sell it to third parties. Our initial release will be centralized, but open source.

#### **Not for Profit**

Junto is a nonprofit organization registered in New York. It exists independently of any shareholders or special interests. This movement belongs to all of us and none of us.

We are a 501(c)4 nonprofit incorporated in New York state.

### Where are you based?

Our team is distributed across the world! We have a remote-first culture and some of the places we're located include the US, UK, and Trinidad and Tobago, Russia, India, and more.

Junto will be available to anyone, regardless of financial means. We're not going to facilitate targeted ads, require paid subscriptions, or put premium features behind a paywall. Choosing to support us is completely optional.

# Measuring Impact

We are creating quantitative and qualitative surveys that will help us better understand Junto's impact on satisfaction, authenticity, mental health, depth of connection, and other key indicators. We are grateful to be partnering with Dr. Adrian Tomyn, who holds a PhD in Psychology and has an extensive well-being and quality of life research background, to conduct this scientific research and make this publicly available for the community and other researchers who might find it useful.

### What's the inspiration behind Junto?

Junto was created to facilitate a more open era of human connection. We want to harness technology's potential to empower rich self-expression, grassroots movements, and meaningful collaboration.

### How do you pronounce Junto?

Our team pronounces it “june-toe,” but you can pronounce it however you want!

### Who is Junto for?

Everyone! We welcome all walks of life. That said, for Junto to be a safe and healthy place, we ask that folks read, understand, and practice our [three basic community agreements](/the-app/community-agreements).&#x20;

### How are you addressing privacy concerns with data?

We do not own, track, or sell your data. We are also a nonprofit and have no incentive to do so. Your best interest is our best interest.

### What does distributed technology mean and what value does it have?

In short, decentralized technology cuts out the need for the middle-man. Today, most web traffic passes through corporate web servers and in the case of social media, this puts corporations in between our interactions. As a result, they have a license to track and sell our data. Their centralized nature is also more prone to hacks and censorship. Built on decentralized technology, Junto is more secure than its centralized counterparts. It is more resilient to censorship and provides its members with ownership of their information. In short, we are unable to track or sell your data even if we wanted to.

### What kind of decentralized technology are you using?

We intend to build Junto on [Holochain](/the-app/untitled-1), a biomimicry-inspired framework to build distributed applications. Learn more about the technology at [holochain.org](https://holochain.org)

As of Q4 2020, Junto is running on a centralized graph database that can be switched to Holochain when it is production ready. We are beginning to work towards building our a direct messaging feature on Holochain first.&#x20;

### How are you funding this project?

In the first two months of 2019, we raised over $110K from 773 people via crowdfunding campaigns. In April 2019, we raised an additional $75K from mission-aligned supporters and advisors. \

# Terminology

We've chosen new names for things! Some are synonymous with existing social media concepts, and others are brand new and all our own.

### What does Junto mean?

Junto means "together" in Spanish and Portuguese!

### What is the Collective?

The Collective is a shared space that anyone on Junto can post into. You can filter content by channel (topic) and you can also view content through Perspectives (self-designed feeds).

### What are Packs?

Your Pack is a group of close friends (and/or family) who evoke the most unfiltered and honest version of yourself and with whom you can share, privately.

Every person on Junto creates their own Pack. When you invite someone to your Pack, you give them access to your Pack feed, which displays the public content of everyone in your Pack, plus the private (pack-only) expressions that you share.\
\
Through your Pack you facilitate the opportunity for your closest friends to discover one another through their mutual connection, you. And, by being a part of other people's Packs, you have the same opportunity to discover new people through these trust-based connections.

To view someone else's Pack, you must be invited by the Pack owner.

Connecting by Packs is **not mutual**. If someone accepts your pack invitation, you will not be able to see their Pack feed unless they choose to send you an invitation.

### What is my Den?

Your Den is both your public-facing profile as well as a place that will house other content you choose to archive (save) or display.

### What is an Expression?

An expression is Junto's term for a post.


# Community Agreements

We ask all Junto users to consent to the following community agreements. We recognize that we all make mistakes and we're all growing. While we acknowledge that strict adherence to these agreements is subjective, we see them as creating an important center of gravity for an intentional culture that will support positive experiences using Junto.&#x20;

# Roadmap

This roadmap is a conservative projection of when we will ship the various projects we have in the pipeline. The timeline is fluid, as other priorities and better ways of doing things may arise.

#### **February 2021 - Junto Beta & Crowdfunding**

February 21st, 2021 will mark the release of our beta and first day of this crowdfunding campaign. People will be able to participate in this campaign until June 2021.

Throughout this campaign, we'll continue building out the features listed above. We will also begin setting up our codebase with

#### June - Aug **2021 - Junto Beta Onboarding & 1st Surveys**

As soon as our crowdfunding campaign is over, we'll begin onboarding people onto our app, starting with our backers. We'll also begin deploying the first set of measuring impact surveys.

#### Sep - Dec **2021 - Junto Beta Working With ACAI**

At this point, we will have upgraded the Junto codebase to work with the ACAI framework and lay the foundation for us to move into the development of our Holochain APIs and encourage and ecosystem of interoperable app development around this unified standard.

#### **Jan - Mar 2022 - Launch Public Version of Junto**

At the start of next year, we'll open access to Junto on the App Store and Google Play for anyone to start using the app. The public version will include the full suite of features listed above.

Hey everyone,

Hope you're all keeping well. Eric here with a few updates to kick off the start of November.&#x20;

**First, we're excited to announce a partnership with CUNY TechWorks,** where we will be receiving 4 weeks worth of free UX design from one of their student cohorts to help them enhance their portfolios and job prospects. We're likely centering the scope of the project around improving Junto's UX around Groups and Packs so expect some improvements there shortly.

**Next, Dr. Adrian, one of our Australian-based community members who has a PhD in Psychology, has generously volunteered his time to help us measure Junto's impact** on mental health, culture, wellbeing, and other key indicators. More on this soon.

# Moderation

We understand it is difficult to create social spaces that support free speech while also maintaining a healthy and respectful environment that is safe for all people. \
\
Our initial community agreements are intended to set the tone for how we expect people to engage on Junto. We see these agreements evolving and expanding through direct participation from our community and from our collective experience using Junto. We are also optimistic that our more human-centered design patterns will naturally shape a more positive digital experience.

With that being said, we will be creating distributed moderation tools, such as flagging for spam, misinformation . We believe in the agency and self-accountability of each user and will not be removing content as a central authority, unless demanded by law, as we believe the collective intelligence is stronger and more efficient than a small number of Junto team members.

# Holochain

An open-source framework for truly peer-to-peer applications.

## Powered by Holochain

Junto will be powered by [Holochain](https://holochain.org/), a biomimicry-inspired framework for building scalable, distributed apps. Our initial release runs on a centralized, open source graph database.

* Holochain is NOT blockchain. Holochain applies an agent-centric approach to distributed computing, rather than blockchain’s data-centric one.<br>
* Holochain does not leverage global consensus mechanisms like Proof-of-Work or Proof-of-Stake to achieve data integrity.<br>
* Instead, Holochain uniquely combines hash chains, DHTs, and gossip protocols to enable building secure, distributed apps at scale.

## Enhance User Sovereignty&#x20;

Leveraging Holochain enables us to address a host of important issues in the social media landscape.

* Our members will own their data and identity
* We don’t track, sell, or monetize user data
* Junto is more private and secure than its centralized counterparts
* Our platform will be more censorship-resistant
* No more data silos — our platform is interoperable and open source under MPL 2.0&#x20;

We are defining a [decentralized social media standard](https://github.com/juntofoundation/Holochain-Trait-Definitions) for greater interoperability.

## Making Web 3.0 Accessible

Our initial release runs on a centralized, open source graph database written in Rust. This enables us to be independent of Holochain’s success and make headway in refining our human-centered UX and building our community.

* To start, we are building our Direct Messaging feature on Holochain and are aiming to integrate it with our centralized app by the start of 2021. <br>
* Our goal is for our members to be able to seamlessly toggle between the centralized and decentralized environments using the same UI. We will fully migrate to Holochain when it makes sense.<br>

* You agree to not to transmit any viruses, worms, defects, Trojan Horses or any items and/or computer code, files or programs of a destructive nature and/or otherwise designed to interrupt or limit the functionality of any computer software or hardware or telecommunications device.<br>
* You agree to not to transmit or allow access or distribution of any spiders, robots or other information gathering computer programs or routines or their equivalents on or in the Service.<br>

* You agree to not to use the Junto name or trademarks or related trade names, which you acknowledge here to be valid, subsisting and enforceable without impediment, and you will not expressly or by implication create the false or misleading impression that Junto is associated with, or endorses, or is in any way connected with you, your business, or your Content.<br>
* You agree to not to impersonate another person, group of people, or entity at any times, which includes not using anyone else's username or password. Note that this does not apply to parody and fan accounts.

**WHILE JUNTO EXPLICITLY PROHIBITS THE ABOVE CONDUCT YOU ACKNOWLEDGE AND AGREE THAT YOU MAY BE EXPOSED TO SUCH CONDUCT AND CONTENT AND THAT YOU USE THE SERVICE ENTIRELY AT YOUR OWN RISK, AND THAT JUNTO SHALL HAVE NO LIABILITY OF ANY KIND FOR SUCH CONDUCT AS CARRIED OUT BY ANY THIRD PARTY AT ANY TIME UNLESS EXPRESSLY SET FORTH TO THE CONTRARY BY JUNTO IN WRITING.**

YOU UNDERSTAND AND AGREE THAT IF YOU VIOLATE ANY OF THE RULES OF BEHAVIOR, JUNTO RESERVES THE RIGHT TO TAKE ACTION, INCLUDING IN THE MOST EGREGIOUS OF INSTANCES THE RIGHT TO TERMINATE YOUR USE OF THE SERVICE IMMEDIATELY WITHOUT PRIOR NOTICE AND WITHOUT ANY RIGHT OF A HEARING.

## 5. Content

As a registered user, you will be able to upload and post a great variety of materials and information, including but not limited to text, audio, video, photographs, graphics and other materials ("Content"). This means that you have the sole responsibility, not Junto, for all of the Content that you upload, post, email, transmit or otherwise make available through the Service, and to make sure that you are in compliance with the rules of behavior set forth herein relating to such Content. **Any Content that you write, post, upload or link to on Junto is entirely your responsibility.**

Junto shall have no liability of any kind with respect to any Content posted by you or other users of the Service. You agree that you must assess and bear all risks associated with your use of any Content. In this regard, you may not rely on any Content created by other Junto members or otherwise created, distributed and displayed on any part of the Service. Junto does not control or monitor all of the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content.

The Content created by you must be owned by you or you must have been granted the prior permission to use such Content by its owner. Junto does not own any of the Content you post. By placing Content on the Service you are providing Junto with a worldwide, irrevocable, royalty-free, unlimited, non-exclusive license, for as long as the Content is part of your profile, to publicly display, modify, reproduce and distribute your Content, in whole or in part, on the site for editorial and promotional purposes of the site.

Unless you make it clear that specific Content you post cannot be copied or used by any other users of the Service, you agree that by posting Content you own on the Service, all other users can reproduce and use such Content in connection with the Service, subject to all applicable laws. Junto shall have no responsibility for enforcing any rights you may claim in any Content, which shall be your responsibility entirely, and you agree to hold harmless, defend, and indemnify Junto with respect to any claim you have that other users are reproducing or using your Content as well as for claims by other users that you are reproducing or using their Content without permission. ## 8. Open Source Software and Junto Consent

The Software associated with Junto is open-source. Subject to the respective terms of the open source licenses, which are provided at <https://www.mozilla.org/en-US/MPL/>, you are thereby free to do with our software what you will SO LONG AS such modifications remain open sourced. We only ask that if you modify our Software for any commercial purpose, you do not do so without our prior and express written permission to do so.

## 9. Modification and Termination of Service

Junto reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Junto will not be liable to you or any third party for the consequences of any modification, suspension or discontinuance of the Service.

## 10. Registration

In order to use certain aspects of the Service you are required to register. We refer to registered users as “members”. Registered users are subject to the following specific terms in addition to all of the other terms in this Agreement:

* In consideration of your use of the Service, you represent that you are of legal age to form a binding contract, which is thirteen (13) years of age in the United States, and are not a person barred from receiving the Services under the laws of the United States or other applicable jurisdiction<br>
* You agree to provide true, accurate, current and complete information as required on the Service's Registration Form. If you provide any information that is untrue, incomplete, not current or inaccurate, Junto has the right to suspend or terminate your account and refuse your current or future use of the Service (or any portion thereof).<br>
* You agree that Junto may, under certain circumstances and without prior notice, immediately terminate your Junto account, any associated username and/or access to the Service. Cause for such termination shall include, but is not be limited to: (i) a breach or violation of the Terms or other Junto policies, guidelines, or rules (including without limitation the Privacy Policy), (ii) extended periods of inactivity, (iii) your engagement in fraudulent or illegal activity, (iv) unexpected technical or security issues, and (v) requests by law enforcement or other government agencies. You also agree that any termination is in Junto’s sole discretion and that we will not be liable to you or any third party for any termination of your account, password, username, deletion of Content and/or access to the Service.<br>
* With the exception of Junto’s memorialization settings, you agree that your account is non-transferable and any rights to your account, password, username, terminate upon your death or disability and/or termination of account for any reason.<br>
* You are responsible for any activities that take place under your username and password. If you become aware of any unauthorized use of your password or account, or any other breach of security, contact us immediately. It is up to you to maintain the confidentiality of your password and account. ## 11. Practices Regarding Use and Storage

You acknowledge that Junto may establish general practices and limits regarding use of the Service including, without limitation, the maximum number of messages which may be sent or received from an account of the Service, the maximum size of any message that may be sent from or received by an account of the Service, the maximum amount of disk space that will be allotted on Junto’s servers on your behalf, and the maximum number of times and duration for which you may access the Service in a given time. You agree that we have no responsibility or liability for the deletion or failure to store or transmit any messages or communications or other content maintained or transmitted by the Service. You acknowledge and agree that Junto reserves the right to log off accounts and deactivate usernames and accounts that are inactive for an extended period of time. You further acknowledge that we have the right to modify these practices and limits from time to time.

## 12. Junto Proprietary Rights; Trademarks and Copyrights

You acknowledge and agree that the Service and any necessary software used in connection with the Service ("Software") contain proprietary and confidential information that is the property of Junto Foundation, Inc. and its licensors, and is protected by applicable intellectual property and other laws. No rights or title of to any of the Software used in connection with any Service is provided, transferred or assigned to you. You further acknowledge and agree that content contained in information presented to you through the Service or advertisers is protected by copyright, trademarks, service marks, patent, privacy, and/or other proprietary rights and laws. Except as expressly authorized by Junto or advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or Software, in whole or in part, at any time. You also acknowledge Junto’s exclusive rights in the Junto trademark and service mark. Trademarks, service marks, logos, and copyrighted works appearing on Junto are the property of Junto Foundation, Inc. or the party that provided such intellectual property to Junto Foundation, Inc.. Junto and any party that provides intellectual property to Junto retain all rights with respect to any of their respective intellectual property appearing on Junto, and no rights in such materials are transferred or assigned to you, in whole or in part, at any time.

## 13. No Co-Branding or Framing

You may not use or authorize any party to co-brand or frame Junto or any Service without the express prior written permission of a Junto representative, as applicable, in each instance. For purposes of these Terms, "co-branding" means to display a name, logo, trademark, or other means of attribution or identification of any party in such a manner as is reasonably likely to give a user the impression that such other party has the right to display, publish, or distribute Junto, in whole or in part, and/or any content accessible within Junto. For purposes of these Terms, "framing" refers to displaying any Junto Service within a bordered area of another website or service, regardless of whether the address of the originating Junto is visible. You further agree to cease any unauthorized co-branding or framing immediately upon notice from us.

## 14. Disclaimer of Warranties

The use of the Service is at your sole risk. The Service is provided on an "as is" and "as available" basis.

**JUNTO EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.**

**JUNTO MAKES NO WARRANTY THAT (1) THE SERVICE WILL MEET YOUR REQUIREMENTS, (2) THE SERVICE WILL BE UNINTERRUPTED, TIMELY SECURE, OR ERROR-FREE, (3) THE RESULTS OF USING THE SERVICE WILL BE ACCURATE OR RELIABLE, (4) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH YOUR USE OF THE SERVICE WILL MEET YOUR EXPECTATIONS, OR (5) THAT THE SOFTWARE WILL BE ERROR-FREE AND/OR ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.**

No advice or information, whether oral or written, obtained by you from Junto or through or from the Service shall create a warranty not expressly stated in these Terms.

## 15. Limitation of Liability

You expressly understand and agree that Junto, including any of its subsidiaries, affiliates, licensors, service providers, content providers, employees, agents, officers, and directors will not be liable to you for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, even if Junto has been advised of the possibility of such damages or such damages were reasonably foreseeable, resulting from the use or the inability to use the Service, unauthorized access to or alteration of your transmissions or data, statements or conduct of any third party including advertisers on the Service, the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Service, and/or any other matter relating to the Service. In no event will Junto be liable to you for any amount of money over One Hundred U.S. Dollars ($100.00), which you acknowledge to be a fair and reasonable sum in the event of any loss by you of any kind.

## 16. Personally Identifiable Information

Junto cautions you against giving out any personally identifying information about yourself, your children, or any other person in any Service. In an effort to preserve your privacy, we agree that we will treat any personally identifying information that you submit through this Application in accordance with the terms outlined in our Privacy Policy located at [www.junto.foundation/privacy-policy](http://www.junto.foundation/privacy-policy).

## 17. Disclosures Required by Law

While Junto reserves the right at all times to disclose any information, including personally identifiable information about you, as necessary, the only real reasons we may actually end up doing so are if the law legally requires us to arising out of the following situations: (i) to satisfy a valid subpoena issued in connection to a criminal investigation; (ii) a court order issued under 18 U.S.C. Section 2703(d); or (iii) a valid search warrant issued upon the showing of probable cause. Junto reserves the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity of anyone posting any content, or publishing or otherwise making available any materials that are believed to violate these Terms. We will use reasonable efforts to notify you in connection with any such inquiry; provided, however, that the inquiry in question is not confidential, and further provided that Junto shall have no duty to disclose such information and therefore shall not be liable to you in connection with any non-disclosure.

**BY ACCEPTING THIS AGREEMENT YOU WAIVE ALL RIGHTS AND AGREE TO HOLD JUNTO HARMLESS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY JUNTO DURING OR AS A RESULT OF ITS INVESTIGATIONS AND/OR FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER JUNTO OR ANY LAW ENFORCEMENT ORE REGULATORY AUTHORITIES.**

## 18. Arbitration, Class-Action Waiver and Jury Waiver

**PLEASE READ THE FOLLOWING PARAGRAPHS CAREFULLY BECAUSE THEY REQUIRE YOU AND JUNTO TO AGREE TO RESOLVE ALL DISPUTES BETWEEN US THROUGH BINDING INDIVIDUAL ARBITRATION.**

Applicability of Arbitration Agreement. You and Junto agree that all claims and disputes (whether contract, tort, or otherwise), including all statutory claims and disputes, arising out of or relating to these Terms or the use of the Services that cannot be resolved in small claims court will be resolved by binding arbitration on an individual basis, except that you and Junto are not required to arbitrate any dispute in which either party seeks equitable relief for the alleged unlawful use of copyrights, trademarks, trade names, logos, trade secrets, or patents. To be clear: The phrase “all claims and disputes” also includes claims and disputes that arose between us before the effective date of these Terms.

Arbitration Rules. The Federal Arbitration Act governs the interpretation and enforcement of this dispute-resolution provision. Arbitration will be initiated through the American Arbitration Association (“AAA”) and will be governed by the AAA Consumer Arbitration Rules, available here as of the date of these Terms, or by calling the AAA at 1-800-778-7879. If the AAA is not available to arbitrate, the parties will select an alternative arbitral forum. The rules of the arbitral forum will govern all aspects of this arbitration, except to the extent those rules conflict with these Terms. The arbitration will be conducted by a single neutral arbitrator. Any claims or disputes where the total amount sought is less than $10,000 USD may be resolved through binding non-appearance-based arbitration, at the option of the party seeking relief. For claims or disputes where the total amount sought is $10,000 USD or more, the right to a hearing will be determined by the arbitral forum’s rules. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

Additional Rules for Non-appearance Arbitration. If non-appearance arbitration is elected, the arbitration will be conducted by telephone, online, written submissions, or any combination of the three; the specific manner will be chosen by the party initiating the arbitration. The arbitration will not involve any personal appearance by the parties or witnesses unless the parties mutually agree otherwise.

Fees. The prevailing party in any such arbitration shall be entitled to receive from the losing party, all costs and expenses of arbitration, including reasonable attorney’s fees and filing fees.

Authority of the Arbitrator. The arbitrator will decide the jurisdiction of the arbitrator and the rights and liabilities, if any, of you and Junto. The dispute will not be consolidated with any other matters or joined with any other cases or parties. The arbitrator will have the authority to grant motions dispositive of all or part of any claim or dispute. The arbitrator will have the authority to award monetary damages and to grant any non-monetary remedy or relief available to an individual under law, the arbitral forum’s rules, and the Terms. The arbitrator will issue a written award and statement of decision describing the essential findings and conclusions on which the award is based, including the calculation of any damages awarded. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have. The award of the arbitrator is final and binding upon you and Junto.

Waiver of Jury Trial. **YOU AND JUNTO WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY.** You and Junto are instead electing to have claims and disputes resolved by arbitration. Arbitration procedures are typically more limited, more efficient, and less costly than rules applicable in court and are subject to very limited review by a court. In any litigation between you and Junto over whether to vacate or enforce an arbitration award, **YOU AND JUNTO WAIVE ALL RIGHTS TO A JURY TRIAL**, and elect instead to have the dispute be resolved by a judge.

Waiver of Class or Consolidated Actions. **ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER.** If, however, this waiver of class or consolidated actions is deemed invalid or unenforceable, neither you nor we are entitled to arbitration; instead all claims and disputes will be resolved in a court as set forth in Section 19.

Right to Waive. Any rights and limitations set forth in this arbitration agreement may be waived by the party against whom the claim is asserted. Such waiver will not waive or affect any other portion of this arbitration agreement.

Arbitration Agreement Survival. This arbitration agreement will survive the termination of your relationship with Junto.

## 19. Choice of Law and Venue

If there is any dispute about or involving the Junto Application and/or the Service, you agree that any dispute shall be governed by the laws of the State of New York, without regard to conflict of law provisions.

To the extent that these Terms allow you or Junto to initiate litigation in a court, both you and Junto agree that all claims and disputes, including statutory claims and disputes, arising out of or relating to the Terms or the use of the Services will be litigated exclusively in the United States District Court for the Eastern District of New York. If, however, that court would lack original jurisdiction over the litigation, then all such claims and disputes will be litigated exclusively in in the state courts of Kings County, New York.

**YOU AGREE THAT REGARDLESS OF ANY STATUTE OR LAW TO THE CONTRARY, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO USE OF THE SERVICE OR THESE TOS MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE OR BE FOREVER BARRED.**

20\. Miscellaneous Terms; General Information

These Terms govern the terms and conditions of your use of the Service, and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and Junto with respect to the Service and this Application. Notwithstanding the foregoing, you may also be subject to additional terms and conditions, posted policies (including but not limited to the Privacy Policy), guidelines, or rules that may apply when you use certain elements of the Service, third-party content or third-party software.

The failure of Junto to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. Any waiver of these Terms by Junto must be in writing and signed by an authorized representative of Junto Foundation, Inc. to be effective.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties' intentions as reflected in the provision, and the other provisions of these Terms, shall remain in full force and effect.

The section titles in the Agreement are for convenience only and have no legal or contractual effect.

* We will never sell your data to ANYONE. The vast majority of companies profit off their users by selling their information. We promise to never do that. In fact, we won’t ever share any personal data about your online activity or use it to target you individually.<br>
* We DO NOT track you. Few companies occasionally give users the option to exercise your Do Not Track right, but only do so after a user jumps through a bunch of confusing hoops. With us, you don’t have to worry about this. We don’t use tracking to collect any personal information. End of story.<br>
* We DO NOT run targeted advertisements. Junto does not facilitate the use of targeted advertisements on our App. However, you may still see third-party advertisements from time to time independent of us. This is because we do not restrict our users from posting their own advertisements; we just won’t have a hand in the facilitation of any posted ads.

* AWS (Privacy Policy): Used by us to store, process and distribute information. <br>
* Sentry (Privacy Policy): Used by us to log anonymous reports on bugs and crashes happening in the Junto App.

## INFORMATION WE COLLECT

### Information you (and you alone) give us

* When you register an account with us, you provide us with personally identifiable information like name, email address, phone number, username and password, etc. Furthermore, you have the ability to add more information to your profile after registration (e.g., bio, location, personal website, etc.).<br>
* To help you organize how you communicate with others, whether directly or in groups, we may create a list of your contacts for you, and you can create, join, or get added to groups and broadcast lists.These groups and lists get associated with your account information.<br>
* Even if you aren’t signed into your Junto account, you might choose to provide us with information, such as an email address to receive updates and community highlights about our Services. You may customize your communication preferences, or let us know if you do not wish to receive any updates from the company by adjusting your subscriptions & email options on the Junto Website.<br>
* Occasionally, you may voluntarily provide information to us to complete surveys and questionnaires or to participate in user polls. We use this information to improve our products & Services and to ensure that we’re providing accurate disclosures.

### Information we collect automatically

* When you visit our Website, we may collect certain user information automatically from your device. In some territories, including California and countries in the European Economic Area, this information may be considered personal data or personally identifiable information under applicable data protection laws.<br>
* Log & Device data. Information about your interactions with our Services, which may include log data like your device model, operating system, mobile network carrier, and time zone. Whether we collect some or all of this information often depends on what type of device you’re using and its settings.<br>
* Crash Reporting. Junto automatically collects crash logs through a third party service. These logs, however, do not contain any user information beyond device model and OS.

We DO NOT believe in collecting and using any of the following:

* Cookies, web beacons or other technologies to receive and store certain types of your personal information as you interact with our Services<br>
* Certain analytics and viewer interactions services in connection with the operation of a site, including the collection and tracking of certain data and information regarding the characteristics and activities of visitors to a site (i.e., micro-interactions). To give you a better idea, popular services used by others, not us, include MixPanel and UXCam<br>
* IP addresses, user agents, or other unique technical identifiers and network activity information (e.g., browsing history, search history, or interactions with a third-party application).

## HOW AND WHY WE USE YOUR INFORMATION

Junto is only using your personal information if it absolutely has to and has a legally valid reason for doing so, such as to:

* Provide the Features of our Website and the Services You Wish to Use. We will use your information to provide our Website to you; including managing your account; responding to your inquiries; and for other customer service and support purposes. With respect to GDPR, our reason for processing your personal information is for the purpose of providing you our Services and the performance of our contract with you.<br>

No one. We aren’t interested in profiting off your personal data so there’s no need to share it. You and only you have the right to control how you share your information.

Under normal circumstances, local data protection laws (such as GDPR or the California Consumer Privacy Act) give a person rights with respect to personal information if that person is located in or is a resident of that country, state, or territory (including if you are located in the EU/EEA).

Junto believes every person who uses our Services should have complete autonomy over their personal information. Therefore, we extend the following rights to ALL users our Services, no matter where you are or the applicability of the corresponding data protection law(s).

### *Right to Access Your Personal Information*

You may have the right to request access to a copy of your personal information right in the App. For any data beyond basic account information, Junto is currently in the process of finalizing the process by which one can access such information. As soon as this process is complete, you will be the first to know.

### *Right to Rectify of your Personal Information*

You have the right to request that we rectify any mistakes in your personal information, including the right to have partial personal information completed.

### *Right to be Forgotten*

You may have the right to require us to erase/delete your account. When deactivated, your account, including your display name, username, content and public profile, will no longer be viewable on Junto. It is important to remember, though, that search engines and other third parties may still retain copies of pieces of public information, even after you have deleted the information from our Services or deactivated your account.

### *Right to Restriction of Processing*

You may have the right to require us to restrict the further processing your personal information. In such cases, the respective information will be marked as restricted, and may only be processed by us for certain purposes.

### *Right to Object*

You may have the right to object, on grounds relating to your particular situation, to the processing of your personal information by us, and we may be required to no longer process some or all of your personal information.

### *Right to Data Portability*

In the near future, you will have the right to receive a copy of your personal information which you have provided to us, in a structured, commonly used, and machine-readable format. Rest assured, we will let you know when this is readily available.

### *Right to Withdraw Consent*

You may have the right to withdraw consent you have provided to us where we rely solely on your consent to process your personal information. You can always provide your consent to us again at a later time.

Most of the information necessary for you to exercise any rights should be easily accessible within the App. However, if for some reason we are unable to verify that the person making the request is the person whom we have information about, we reserve the right to refrain from disclosing any data. We do this so that we can ensure we only share one’s data with the rightful owner. Also, know that any personal information we collect from you to verify your identity in connection with a request will be used solely for the purposes of verification.

## KEEPING YOUR INFORMATION SECURE

The security of your personal data is one of our highest priorities. We work hard to protect the personal data that you provide from loss, misuse, and unauthorized access, or disclosure. Given the nature of communications and information processing technology, there is no guarantee that personal data will be absolutely safe from access, alteration, or destruction by a breach of any of our physical, technical, and managerial safeguards.

You should take steps to protect against unauthorized access to your device and account by, among other things, choosing a unique and complex password that nobody else knows or can easily guess and keeping your log-in and password private. We are not responsible for any lost, stolen, or compromised passwords or for any activity on your account via unauthorized password activity.

### *Data Retention*

We retain the personal data we collect for so long as is reasonably necessary to perform our contractual obligations to you. Consequently, all user content and data is immediately deleted upon request. Understand though, that as we said before, some search engines and other third parties may still retain some copies of information related to your account.

### **January 2019**&#x20;

After two years of building and testing prototypes, searching for the best emerging tech, and shifting to a nonprofit approach — Junto Foundation launched a [**Kickstarter**](https://www.kickstarter.com/projects/1958309948/junto-a-new-breed-of-social-media?ref=user_menu) campaign in January 2019, raising **$106,949 from 678 backers**.&#x20;

### **February 2019**

As short extension of the crowdfunding campaign through IndieGoGo InDemand lifted that to **$110,290 from 773 backers**.&#x20;

### **April 2019**

Not long after the crowdfunding, an additional $75K in donations was raised from several generous, mission-aligned supporters and advisors.

### **January 2020**

A year after our Kickstarter campaign, we began to prepare to onboard our first round of alpha testers and raised $55K in bridge loans raised from mission aligned supporters and advisors.&#x20;

We received another generous $25k donation from one of our advisors

We recognize that our revenue model depends on successfully appealing to our members to be monthly contributors. While we are building towards financial sustainability around conservative estimates for both user growth and conversion rates, we see two additional sources of revenue that we are likely to pursue.&#x20;

### Junto Merch & Apparel Store

Our crowdfudning campaigns offered of perks that saw our backers getting Junto t-shirts, hoodies, bracelets, and more. We have also written and illustrated a coffee table book about Junto that we plan to print. While it hasn't made sense to prioritize thus far, we see the potential for additional revenue coming from a Junto store in the future.&#x20;

### Organizational Sponsors

While we do not intend to position ourselves to become dependent on a small number of large donors, we do see the potential to partner with mission-aligned organizations, brands, and high net-worth individuals who want to see Junto succeed. We have already begun making some of these connections and establishing the groundwork for future partnerships.&#x20;

We have a plan to be fully funded by community support by Q4 of 2022. Our path from here to financial sustainability involves a combination of raising a minimum of $500K from crowdfunding and and launching monthly recurring donations in Q4 2021.&#x20;
